Tutors of That Tuition Cafe (TTC)

Welcome to TTC Mobile Application (the “Application”). We make information available to you on the Application subject to the following terms and conditions. If you utilize the Application, You accept these Terms + Conditions. Please read them carefully. This Agreement is between you (as “Client” or “Tutor”) and That Tuition Café Education Center Pte Ltd
(Registered no. 201811572K) (“TTC”) pursuant to which TTC is prepared to grant you access to this Application. You can only use the Application as a “Client” or “Tutor”.
“Clients” and “Tutors” are defined by TTC’s terms and conditions applying to “Clients” and “Tutors”. TTC reserves the right to change this Agreement from time to time at its sole discretion, and your rights under this Agreement will be subject to the most current version of this Agreement posted on this page at the time of your use as a registered “Client” seeking to purchase tutorial services or your registration as a “Tutor” seeking to provide tuition services as may be applicable. If you do not agree with these terms of use, do not use this Application. This Agreement is in addition to your obligations and rights under the Privacy Policy posted on the Application. For the avoidance of doubt, in the event of a conflict between this Agreement and the Privacy Policy or other terms and conditions posted on the Application, this Agreement will prevail. If you are unsure of your rights under this Agreement, please contact us.

 

LICENSE AND APPLICATION ACCESS

TTC grants you a limited license to access and make personal use of the Application and not to download or modify it, or any portion of it, except with express written consent of TTC. This license does not include any resale or commercial use of the Application or its contents; any collection and use of any service listings, descriptions, or prices; any derivative use of the Application or its contents; or any use of data mining, robots, or similar data gathering and extraction tools. The Application or any portion of the Application may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of TTC. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of TTC without express written consent from TTC. Any unauthorized use terminates the permission or license granted by TTC.

 

TRADEMARKS AND SERVICE MARKS

Unless otherwise indicated, all names, graphics, designs, logos, page headers, button icons, scripts, commercial markings, trade dress, and service names included in the Application are trademarks of TTC. Trademark laws protect the trademarks of TTC. The trademarks may not be used in any manner that is likely to cause confusion to, or in any manner that disparages or discredits TTC. TTC and its logo are, without limitation, among the registered trademarks of TTC. Infringement of any TTC trademark is not permitted.

 

 

COPYRIGHTS

All content (including any and all collateral materials relating thereto) included on this Application are owned by TTC and protected by copyright laws and/or design patents. You agree not to use, display, reproduce, retransmit, modify, distribute, disseminate, sell, publish, create derivative works or broadcast, circulate, display or in any way exploit any such content, in whole or in part, whether by email or by any other means, for any purpose other than for your personal, non-commercial use as set forth herein.

 

OUR services

TTC attempts to be as accurate as possible in its service descriptions. However, TTC does not warrant that services and price descriptions or other content of this Application are accurate, complete, reliable, current, or error-free.

 

COMMUNICATIONS AND OTHER CONTENT

Users may submit suggestions, ideas, comments, questions, or other information, to our Customer Service Department so long as the content is not illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties or objectionable and does not consist of, or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of “spam.” You may not use a false email address, impersonate any person or entity, or otherwise mislead as to the origin of any content. If you do submit material, you automatically grant TTC a nonexclusive, royalty-free, perpetual, irrevocable, and fully sub licensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media throughout the world. You grant TTC the right to use the name that you submit in connection with such content, if they choose. You represent and warrant that you own or otherwise control all of the rights to the content that you submit; that the content is accurate; that use of the content you supply does not violate these terms of use and will not cause injury to any person or entity; that the content you supply does and will not infringe any party’s intellectual property, publicity, privacy, or other rights and that such content is and will not be defamatory or libellous; and that you will indemnify TTC for all claims resulting from content you supply. TTC has the right but not the obligation to monitor and edit or remove any activity or content. TTC takes no responsibility and assumes no liability for any content shared by you or any third party through the App.

 

DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

THIS APPLICATION AND ALL INFORMATION CONTAINED THEREIN ARE PROVIDED BY TTC ON AN “AS IS” AND “AS AVAILABLE” BASIS. TTC MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION AND AVAILABILITY OF THIS APPLICATION OR THE INFORMATION, CONTENT, MATERIALS, OR SERVICES PRESENTED ON THE APPLICATION. YOU EXPRESSLY AGREE THAT YOUR USE OF THIS APPLICATION IS AT YOUR SOLE RISK. TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, TTC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. TTC DOES NOT WARRANT THAT THE APPLICATION, ITS SERVERS, OR EMAIL SENT FROM TTC ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR ERRORS. TTC WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THIS APPLICATION, INCLUDING, BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES. IN NO EVENT SHALL TTC’S LIABILITY TO YOU IN CONNECTION WITH THIS APPLICATION AND THESE TERMS AND CONDITIONS AND THE PRIVACY POLICY EXCEED US$500.00. CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.

 

INDEMNIFICATION

You agree to indemnify TTC against all damages, liabilities, costs, charges and expenses, including reasonable attorneys’ fees, that TTC may incur as a result of your breach of any of these Terms + Conditions or any claims brought against TTC relating to information submitted by you or actions taken by you. We will provide you with timely notice of any such claim, suit or proceeding.

 

PRIVACY

Please review our Privacy Policy, which also governs your use of the App, to understand our practices.

 

SECURITY

Please review our security practices set forth in our Privacy Policy.

 

GOVERNING LAW; EXCLUSIVE JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws Singapore. In the event of any dispute hereunder, you and TTC hereby consent to the exclusive jurisdiction and venue of the courts of Singapore.

 

FORCE MAJEURE

TTC shall have no liability to you for any delay or failure in carrying out its obligations to any User for reasons beyond TTC’s control, including without limitation, acts of God, war or terrorism, natural disasters, changes in or compliance with laws, regulations or governmental policies and shortages of registered tutors and tutoring services.

 

GENERAL

By your continued use of this Application, you acknowledge that you have read and understand these Terms of Use and you agree to act in accordance with its terms and conditions and be bound by them. These Terms of Use shall not be altered or modified in any way without the prior written consent of TTC. TTC’s failure to act with respect to a breach by you or others does not waive TTC’s right to act with respect to subsequent or similar breaches. If you are acting as an agent for a principal (including on behalf of your employer), you and the principal, jointly and severally, assume all of your obligations set forth in this Agreement. If any part of this Agreement is found by any court to be invalid, illegal or unenforceable, that part shall be discounted and the rest of this agreement shall continue to be valid and enforceable to the fullest extent permitted by law. Terms and Conditions for Clients and Tutors

Introduction

Important – please read these terms carefully. By using the Service (as defined below), you (“Client” and/or “Tutor”) agree that you have read, understood, accepted and agreed with the Terms of Use (as defined below). You further agree to the representations made by yourself below. If you do not agree to or fall within the Terms of Use of the Service and wish to discontinue using the Service, please do not continue using the Application (as defined below) or the Service.

The Terms of Use stated herein (collectively, the “Terms of Use” or this “Agreement”) constitute a legal agreement between you (the “Client” and/or “Tutor”) and That Tuition Café Education Pte Ltd (Reg. No. 201811572K) (“TTC”). In order to use the Service you must agree to the Terms of Use that are set out below. By using the mobile application supplied to you by TTC (the “Application”), and downloading, installing or using any associated software supplied by TTC (the “Software”), the overall purpose of which is to enable persons seeking tuition services (the “Client) to be provided at any of the premises operated by TTC to be matched with third party tuition providers (the “Tutor”) (collectively, the “Service”), you hereby expressly acknowledge and agree to be bound by the Terms of Use, and any future amendments and additions to the Terms of Use as published from time to time at https://www.thattuitioncafe.com/terms+conditions or through the Application.

TTC reserves the right to modify, vary and change the Terms of Use or its policies relating to the Service at any time as it deems fit. Such modifications, variations and or changes to the Terms of Use or its policies relating to the Service shall be effective upon the posting of an updated version at https://www.thattuitioncafe.com/terms+conditions. You agree that it shall be your responsibility to review the Terms of Use regularly and also the Terms of Use applicable to any country where you use the Service which may differ from the country where you registered for the Application (the “Alternate Country”) whereupon the continued use of the Service after any such changes, whether or not reviewed by you, shall constitute your consent and acceptance to such changes. You further agree that usage of the Service in the Alternate Country shall be subject to the Terms of Use prevailing for the Alternate Country, which can be found at https://thattuitioncafe.com/terms+conditions

 

THE COMPANY IS A TECHNOLOGY AND SERVICES COMPANY THAT DOES NOT PROVIDE TUITION SERVICES AND THE COMPANY IS NOT A TUITION PROVIDER. IT IS UP TO THE THIRD PARTY TUTORS TO OFFER TUITION SERVICES TO CLIENT AND IT IS UP TO THE CLIENT TO ACCEPT SUCH TUITION SERVICES. THE SERVICE OF THE COMPANY IS TO LINK THE CLIENT WITH SUCH THIRD PARTY TUTORS, BUT DOES NOT NOR IS IT INTENDED TO PROVIDE TUITION SERVICES OR ANY ACT THAT CAN BE CONSTRUED IN ANY WAY AS AN ACT OF A TUTOR. THE COMPANY IS NOT RESPONSIBLE NOR IS LIABLE FOR THE ACTS AND/OR OMISSIONS OF ANY THIRD PARTY TUTOR AND/OR ANY TUITION SERVICES PROVIDED TO THE CLIENT BY A TUTOR REGISTERED WITH TTC.

 

Titles/Headings

Headings are inserted for the convenience of the Parties only and are not to be construed when interpreting this agreement.

 

Gender

Words in the singular mean and include the plural and vice versa. Words in the masculine mean and include the feminine and vice versa.

 

1. Representations and Warranties
By using the Service, you (“Client” and/or “Tutor”) expressly represent and warrant that you are legally entitled to accept and agree to the Terms of Use and that you are at least eighteen (18) years old. Without limiting the generality of the foregoing, the Service is not available to persons under the age of eighteen (18) or such persons that are forbidden for any reason whatsoever to enter into a contractual relationship. By using the Service, you further represent and warrant that you have the right, authority and capacity to use the Service and to abide by the Terms of Use. You further confirm that all the information, which you provide, shall be true and accurate. Your use of the Service is for your own sole and personal use as a Tutor and in the case of the Client, for your personal use or for the benefit of a Minor to whom you have registered a relationship to, as a parent or legal guardian, to benefit from tutoring services from a registered Tutor which you, the Client, will book through the Application. You undertake not to authorize others to use your identity or user status, you may not assign or otherwise transfer your user account to any other person or entity. When using the Service, you agree to comply with all applicable laws whether in your home nation or otherwise in the country, state and city in which you are present while using the Service.
You may only access the Service using authorized means. It is your responsibility to check and ensure that you have downloaded the correct Software for your device. TTC is not liable if you do not have a compatible device or if you have downloaded the wrong version of the Software to your device. TTC reserves the right not to permit you to use the Service should you use the Application and/or the Software with an incompatible or unauthorized device or for purposes other than the purposes for which the Software and/or the Application is intended to be used.

 

2. General Service Agreement

  1. The Client and TTC are of the opinion that the Tutor has the necessary qualifications, experience and abilities to provide tutoring to the Client.
  2. The Tutor contracts to provide such services to the Client on the terms and conditions set out herein.
  3. TTC provides the “Service” as described in the introduction, to link Clients through the Application to Tutors registered with TTC enabling the Client to book the services of a Tutor through the Application for the conduct of such tutoring services by a TTC registered Tutor, to take place within the premises of TTC.
  4. By registering as a Client or as a Tutor, you agree to abide by the terms and conditions of TTC.
  5. A booking made by the Client on the Application, forms the contract between the Tutor and the Client.
  6. By agreeing to teach the Student, the Tutor agrees to this contract. By agreeing to have the Student tutored by the Tutor, the Client agrees to this contract. The Tutor and the Client acknowledge that these terms govern the legal rights and obligations between them.
  7. This contract should be read alongside the Terms and Conditions for Clients and Tutors.
  8. These terms constitute the whole agreement between the parties and no variation or alteration of these terms shall be valid.
  9. The Termination or Conclusion of the contract occurs when all of the obligations under this contract are complete or discharged.
  10. The laws of Singapore govern this agreement and the parties submit to the jurisdiction of the Courts of Singapore.

 

3. That Tuition Café Private Limited (TTC)

  1. TTC provides the “Service” as described in the introduction, for the conduct of such tutoring services by a TTC registered Tutor, to take place within the premises of TTC.
  2. TTC is a beneficiary to the contract between Tutors and Clients, insofar as the “Application” provides a booking service for such tuition services to be provided on any of its premises. It also collects fees from the Client on behalf of the Tutor that includes its own fee relating to its administration for use of the TTC Application and TTC’s premises.
  3. The gross hourly rate for tuition includes the tutor’s net fee and TTC’s own fees.
  4. Any value added or sales tax will be applied, if required by law, over and above the hourly rate.
  5. The contract between Client and Tutor is concluded through the TTC Application.
  6. TTC will provide a safe and suitable environment for the tutoring to take place.
  7. TTC, while endeavouring to ensure the health and safety of all who are on TTC’s premises is in compliance with legal requirements, shall not be liable for any loss, damage, injury, legal proceedings or suits, claim or anything of whatsoever nature (direct, indirect, consequential) whether arising in contract, tort or otherwise, suffered, incurred or initiated by any student or any tutor arising from such contact between any student and any tutor prior to, during and after any tutorial session.
  8. TTC does not accept any liability for any claims by the Client or Tutor arising out of, or related to, the provision of tutoring services by the Tutor at TTC’s premises.
  9. TTC does not exclude liability that is not permitted to be excluded by law.

 

4. The Client

  1. All students under the age of 18 will have to be registered by their Adult Parent/Guardian who is the Client.
  2. The Parent/Guardian details including relationship to the Student will have to be registered together with the Student’s details.
  3. All students under the age of 18, who use the Application to make a booking with a Tutor, are deemed to have made such bookings with the express consent of the Parent/Guardian registered as the Client.
  4. All adult students are deemed to have the capacity to contract in their own right as the Client.
  5. You are referred to in these contracts as ‘the Client’, and you are the other party to a contract with a Tutor. You agree to pre-pay for the purchase of tutoring services on behalf of ‘the Student’, using the Application. ‘The Student’ may be yourself or a MINOR registered by you as the MINOR’S registered parent/guardian. The Student is the person who receives the tutoring service through sessions of tutoring booked through the TTC App.
  6. The Client agrees to these terms and conditions for the use of the TTC App to book a tuition session with a TTC registered Tutor for tutoring at TTC’s premises.
  7. The registered Client agrees not to make any private arrangement with a registered Tutor for tutoring outside of TTC’s premises. A breach of this condition will render the Client and Tutor to account to TTC for all sums paid and received. Registrations of both Client and Tutor will be cancelled.
  8. Should you wish to recommend one of TTC’s Tutors to any other Potential or Actual Client, you may do so but any other Potential or Actual Client must register himself and download the Application to make a booking.
  9. Clients should be aware that the Tutor does not have power to bind TTC in any way.
  10. TTC is not responsible for insurance arrangements in respect of the Tutor providing tutoring services and the Client should note that this is the case.
  11. The Client is responsible for booking, payment and cancellation fee.
  12. TTC uses Client data for the purposes of the services that it provides. Clients providing personal data consent to the use of that data by TTC for the purpose of effecting introductions to Tutors, for billing and fee collection purposes and to enable TTC to contact the Client from time to time.

5. The Tutor

  1. A Tutor is deemed to have been linked to the Client by TTC in the event that a Client makes a booking with a registered Tutor through the TTC Application.
  2. You are referred to in these contracts as ‘the Tutor’, and you are the other party to a contract with a ‘Client” from such bookings referred to in 5(a) above.
  3. The Tutor warrants and represents to TTC that all written and oral statements and information provided by the Tutor to TTC for the purpose of or in connection with the Tuition, including (but not limited to) personal information about the Tutor and/or your qualifications, credentials, references and suitability for providing the Tuition were when provided, and remain, true, complete and accurate.
  4. If anything occurs which materially changes the information originally provided, such as but not limited to you being convicted of a criminal offence, you must inform TTC of this information in order that the information provided by TTC about yourself remains truthful and accurate.
  5. The Tutor is self-employed and engaged through the Application by the Client to provide tuition to the Student.
  6. Nothing in these Terms shall constitute the relationship of employer and employee and/or worker or a partnership between TTC and the Tutor.
  7. The Tutor undertakes to duly and promptly pay all income tax
    in relation to all charges and sums payable to the Tutor by TTC and shall be responsible for completing and submitting all relevant assessments, returns and other information to Inland Revenue of Singapore in relation to such charges and sums and to taxation affairs generally.
  8. The Tutor shall indemnify TTC and keep TTC fully and effectively indemnified against all income tax and related penalties and/or interest in respect of any charges paid or payable by TTC to the Tutor for the Tuition.
  9. The Tutor will carry out the tutoring services professionally, with due skill, diligence and care.
  10. The Tutor is responsible for the content of the lessons and will prepare the lessons in accordance with the Client’s instructions and/or a relevant exam syllabus or qualification syllabus as appropriate.
  11. The Tutor’s methods of teaching and content of lessons are those of the Tutor alone and are not supervised or controlled by TTC.
  12. Each session of tuition booked with a Tutor may become part of a course of tuition but the TTC Application only books single sessions by the hour with the registered Tutor and the Tutor does not have the power to bind TTC in any way to providing a course of tuition with that Tutor. In the event that a Tutor is unable to continue an implied course of tuition with a student, the only recourse to the Client is to book another registered Tutor to continue the Student’s tuition.
  13. TTC does not accept any liability for the consequences of tuition, including, but not limited to, exam results.
  14. Whilst every effort is made by TTC to ensure Tutors have reasonable standards of skills, integrity and reliability, TTC is not liable for any loss, expense and damage arising from the negligence, dishonesty, misconduct, or lack of skill of the Tutor.
  15. TTC will not be liable to the Client or any third party for any act, omission or error (whether wilful, negligent or otherwise) of the Tutor.
  16. The registered Tutor agrees not to make any private arrangement with a registered Client for tutoring outside of TTC’s premises. A breach of this condition will render the Tutor and Client to account to TTC for all sums paid and received. Registrations of both Client and Tutor will be cancelled.
  17. Tutors are expected to be responsive when contacted by TTC. If you persistently fail to respond to communication from TTC (via email or telephone or both) then TTC reserve the right to remove you from our register of Tutors.
  18. We also reserve the right to remove you from our register for breaching TTC’s terms and conditions in any way, including but not limited to breaching sections 5 (c) and 5 (d).
  19. TTC uses tutor data for the purposes of the services that it provides. Tutors providing personal data consent to the use of that data by TTC for the purpose of effecting introductions to Clients, for billing and fee collection purposes and to enable TTC to contact the Tutor from time to time.

  21. The Tutor does not have power to bind TTC in any way.

 

6. Bookings / Payment / Cancelation:

  1. A booking, whether made by the Student or Client through the TTC Application is deemed to have been made by the Client.
  2. The Client is responsible for pre-paying TTC, through the Application, for the lesson booked and the fee paid is held by TTC until after completion of the lesson, whereupon the payment is passed on to the Tutor less TTC’s fees.
  3. Lessons cannot be cancelled through the App. Cancellations must be sought directly with the TTC Administration based onsite at its premises where the tuition was to have been received.
  4. Clients should be aware that there can be considerable preparation involved before each Session of tuition, in addition to travel time and cost to the Tutor.
  5. Any cancellation of a lesson booked which is made within 24 hours prior to the day of the lesson, is deemed a late cancellation and the fee paid will not be refunded to the Client.
  6. Per cancellation of a lesson made within 24 hours prior to the day of the lesson, TTC, at its sole discretion and if it deems that there are exceptional circumstances which warrant a full credit of the fee paid, will apply the credit towards a booking of the same lesson at a re-scheduled date/time. The TTC administrator will seek a medical certificate in cases where illness caused the need for late cancellation.
  7. Cancellations made with more than 24 hours notice prior to the day of the lesson booked, will receive a credit of the fee paid, to be applied to a re-booking of the same lesson at a future date/time.
  8. If a Client wishes to reschedule a lesson, the Client has to do so via the mobile app with more than 24 hours’ notice prior to the day of the lesson booked.
  9. Rescheduling with less than 24 hours’ notice prior to the day of the lesson booked will incur an administrative charge of $10.00
  10. If the Student or Client chooses to terminate a Session early (for example, after one hour of a two-hour session), the Session will be charged at the applicable price.
  11. If the tutor cancels a lesson, the client will be given a full refund of the booking fee.
  12. Payments are made via our secure online payment system, PayPal that accepts credit and debit card payments as well.
  13. The fee paid for a lesson booked is specific to the Client that made the booking. That fee and lesson is absolutely non-transferable.
  14. All fees are subject to review and revision.

 

7. Tuition Sessions conducted on TTC’s premises

Punctuality

  1. Lessons are to start and end at the times booked. Punctuality will be adhered to.
  2. If the Student is late for a Session, the Tutor is not obligated to work beyond the scheduled end time and the session will be charged at the usual price, whether or not the Tutor works beyond the scheduled end time. The Tutor can only work beyond the end time subject to the availability of a desk at TTC’s premises for the provision of tuition and only with the express permission of the premises manager. If a Tutor is late for a session, then it is the obligation of the Tutor to arrange to make up the lost time subject to availability of a desk at TTC’s premises for the provision of tuition and only with the express permission of the premises manager.

 

Public Holidays

• Lessons will only be conducted between the hours of 9.00 am until 5.00pm only

Behaviour

  1. Students will behave appropriately while on TTC premises and in accordance with the code of conduct set out at TTC’s premises.
  2. Conversations are to be in audible but muted tones.
  3. Students must behave in a considerate manner to all other users of the premises. The final arbiter of unreasonable behaviour is the premises manager.
  4. Physical or verbal abuse of fellow Students, Tutors or TTC staff will not be tolerated and lead to immediate ejection from TTC premises. Students will forfeit any tuition fee paid, irrespective of whether a lesson is completed or not. Upon ejection and at the total discretion of TTC, the Student may be de-registered and the Client informed.
  5. Damage to TTC property by a Student will be replaced or repaired as necessary by TTC and billed to the Client for payment. Non-payment will lead to de-registration and TTC will seek recourse to recover its monies through the courts.
  6. TTC cannot be held liable for any misconduct on the part of a Student or Tutor toward each other or to others while on TTC premises, prior to, during or after a Lesson.
  7. TTC, while endeavouring to ensure the health and safety of all who are on TTC’s premises is in compliance with legal requirements, shall not be liable for any loss, damage, injury, legal proceedings or suits, claim or anything of whatsoever nature (direct, indirect, consequential) whether arising in contract, tort or otherwise, suffered, incurred or initiated by any student or any tutor arising from such contact between any student and any tutor prior to, during and after any tutorial session.
